Declaration

I hereby apply to HDFC Bank Limited ("HDFC Bank") for the issuance of HDFC Bank Corporate Card(s) to me and declare that the information included in this application form is true and correct. I accept that HDFC Bank is entitled in its absolute discretion to accept or reject this application form, without assigning any reason whatsoever. I understand, acknowledge and confirm that the Corporate Card is issued to me by HDFC Bank on the recommendation of the company named is the application form ("Company), being by employer, to facilitate payment of the expenses incurred / to be incurred by me (including for business and personal purposes) and the Corporate Card has such features and benefits as may be recommeded/ agreed to by the Company and which features and benefits may be amended / modified from time to time.

I hereby agree and undertake to abide by the detailed terms and conditions of Corporate Card usage (“Terms and Conditions”) once I am allotted the Corporate Card. I hereby confirm that I have also read and understood the contents of the Schedule of Charges and disclosure details and agree that the various charges mentioned therein may be levied as and when applicable to me and I agree to discharge the same on the respective due dates thereof. I will not hold HDFC Bank responsible if any merchant/ person refuses to accept the Corporate Card. In the event of any dispute raised by me in relation to the usage of the Corporate Card and/or its non-acceptance by any merchant/ person, I agree and acknowledge that it shall be the sole responsibility of the Company to resolve the same independently and without any recourse to HDFC Bank.

I understand, acknowledge and confirm that the available credit limit and cash withdrawal limit, in respect of my Corporate Card will be available for my use subject to the overall limit sanctioned to the Company being available and will not be available for my use in the event that the Company's limit is exhausted. In this regard, I have also gone through the Most Important Document (Floater Limit Cards), a copy of which has been submitted to me by HDFC Bank, the contents of which l acknowledge, understand and confirm. I understand, acknowledge and confirm that it is my sole responsibility to monitor and keep myself informed of the overall Company limit available, at any point in time, by checking with the Company and HDFC Bank is not in any way obliged or required to provide me with any updates or information in this regard. The credit limit on the Corporate Card may be reviewed as per HDFC Bank's policies specified from time to time. HDFC Bank reserves the right to alter, reduce, withdraw and/or cancel the credit limit assigned to the Corporate Card with immediate effect. I hereby acknowledge and agree that HDFC Bank may communicate any such change of limit by short message service, electronic mail or such other mode as HDFC Bank may deem fit.

I authorise HDFC Bank and/ or its associates to verify any information or otherwise at my office/ residence or to contact me/ my employer/ banker/ credit bureau/ the Reserve Bank of India or any other source to obtain or provide any information that may be required for confirming membership requirements or maintaining my account in good credit standing. I hereby authorise HDFC Bank to block the Corporate Card issued to me if my resident status changes to non-resident Indian in future and I confirm to make payment of any and all amounts which are due in respect of or in relation to the

Corporate Card at such time including any such expenses, if any, incurred after I cease to be a resident and the cancellation of the Corporate Card.

I authorise HDFC Bank to disclose, share, transfer, part with from time to time (including permitting of such disclosure by the card association concerned) without notice to me, any or all of the information or data contained in this application form, other documents submitted/ executed by me and/ or any other information or data relating to me and my usage of the Corporate Card collected by HDFC Bank now or hereafter, to any other person including, without limitation, any card issuer, credit bureau, banks, financial institutions, card associations, any branch, parent/ subsidiary, affiliate and associates of HDFC Bank, Governmental/ Regulatory authority, service provider, agent or third party sub-contractor for such purposes that HD FC Bank may deem fit. I hereby waive the privilege of privacy.

I authorise HDFC Bank to record specific conversations between me/ my representative and HDFC Bank's representative, in case of grievance related conversations or payment recovery related conversations or any other conversation that HDFC Bank may deem fit, at its own discretion. I confirm that based on my eligibility, HDFC Bank, at its sole discretion, reserves the right to issue any existing card product in their portfolio according to HDFC Bank's internal guidelines. I hereby give my consent to HDFC Bank to provide me with a different card in case I am not eligible for the product applied for.

Further, in consideration of HDFC Bank providing the Corporate Card to me, I hereby expressly and unequivocally agree to and hereby do indemnify and hold HDFC Bank including its officer, employees and agents, indemnified against al I losses and expenses which HDFC Bank may incur, sustain, suffer or is likely to incur, sustain, suffer in connection with HDFC Bank's execution of my/the Company's instructions and against al I actions, claims, demands, proceedings, losses, damages, costs, charges and expenses as a consequence or by reason of provision of the Corporate Card by HDFC Bank or for any action taken or omitted to be taken by HDFC Bank its officers, employees or agents, on my instructions or the instructions of the Company. I shall make payment to HDFC Bank of such amounts as may be determined to be sufficient to indemnify it against any such loss or expenses even though they may not have yet arisen and are contingent in nature.


I agree to receive my card statements through e-mail on the e-mail IDs mentioned in the application form. I am aware that the Corporate Card would be automatically registered for Net Banking in case I already am an HDFC Bank Net Banking customer. l also understand and agree that HDFC Bank is authorized to change any or all of the Terms and Conditions or the Schedule of Charges at its own discretion.

I voluntary opt for Aadhar based officially valid document KYC/ e-KYC/ offline verification. I hereby voluntarily submit my Aadhaar number, Virtual ID, e-Aadhaar, XML, Masked Aadhaar, Aadhaar details, demographic information, identity information, Aadhar registered mobile number, information obtained through face authentication and/or biometric information (hereinafter collectively referred to as the "Information”). I hereby acknowledge and confirm that I have been informed by HDFC Bank, that: (a) submission of Aadhaar is not mandatory and that there are alternative options for Know Your Customer (“KYC”) and establishing identity including by way of physical KYC with officially valid documents other than Aadhaar and that all the options were given to me; (b) for e-KYC/ authentication/ offline verification, HDFC Bank will share the Information including the Aadhaar number and/or biometrics with Central Identities Data Repository ("CIDR”)/ Unique Identification Authority of India (“UIDAI”), and CIDR/UIDAI will share with HDFC Bank, authentication data, Aadhaar data, demographic details, registered mobile number, identity information, which shall be used for the purposes as set out herein.


I hereby authorize and give my consent to the HDFC Bank (and/ or its service providers) to collect, disclose, share, store, preserve, maintain records and use the Information and authentication/verification/ identification data and records, for the following informed purposes: (i) KYC and periodic KYC process for requirements as per KYC laws, the Prevention of Money-Laundering Act, 2002 and rules thereunder and Reserve Bank of India guidelines/directions, or for establishing my identity, carrying out my identification, offline verification or e-KYC or Yes/No authentication, demographic or other authentication/verification/identification as may be permitted as per applicable law, for all accounts, facilities, services and relationships of/through HDFC Bank, existing and future; (ii) for regulatory and legal reporting and filings and/or where required under applicable law; (iii) enabling my account for Aadhaar enabled Payment Services (AEPS); (iv) producing records and logs ofthe consent, Information or of authentication, identification, verification etc. for evidentiary purposes including before a court of law, any authority or in arbitration; (v) for delivery of subsidies, benefits and services and/or any other facility relating to banking operations.

I have been made aware that my Aadhar number and core biometrics will not be stored/ shared except for submission to CIDR for the purpose of authentication and the Aadhaar number and core biometrics shall not be stored/ shared except in accordance with applicable law. I have downloaded the e-Aadhaar

myself using the OTP received on my Aadhaar registered mobile number. I confirm that the Information shared is correct and pertains to me and I shall not hold HDFC Bank or any of its officials responsible in case of any incorrect Information provided by me.


I hereby declare that all the information furnished by me is true, correct and complete. I will not hold HDFC Bank or any of its officials responsible in case of any incorrect information provided by me. The above consent and purpose of collecting Information has been explained to me in my local language.

I understand and acknowledge that my request for linkage of my Aadhar Card with the HDFC Bank Credit Card is subject to validation with the concerned authorities and the discretion of HDFC Bank. I agree to submit accurate KYC documents/proofs to HDFC Bank within 30 days of card approval. I also understand that failure to do so will result in card deactivation and closure, and the entire amount outstanding will become due for immediate payment.

I hereby give my consent and specifically confirm that the online application form submitted by me to HDFC Bank shall be valid, effective and legally enforceable against me though it is not electronically signed by me. For the purpose hereof, a document shall be deemed to be Electronically Signed if it has been encrypted / authenticated by using an electronic method or procedure in accordance with the provisions of the Information Technology Act, 2000 or in any other manner/method/procedure/technique as is recognized/envisaged as a valid method of encryption/authentication under the provisions of the Information Technology Act, 2000.

I further authorize HDFC Bank and/or its associates/subsidiaries/affiliates to verify from, and disclose to, any information pertaining to me /my office/residence and/or contact my family members and/or my Employer/Banker/Credit Bureau/CIBIL/RBI and/or any third party as they deem necessary and/or to do any such verification as they deem necessary.

I acknowledge and agree that the communication details i.e., address, mobile and landline numbers & e-mail addresses submitted in the credit card application have been submitted only for the purposes of the credit card application and shall not be considered by the Bank for automatic updation in the Bank's other records including but not limited to the records maintained by the Bank for other products of the Bank availed by me.

I accept that the information provided in the online application form will be considered in the same lines as a physical application form for any future reference.

I hereby acknowledge and agree that I shall keep myself informed about my liability with respect to the Corporate Card and whether the Corporate Card has been issued on a sole liability basis, joint and several liability basis or on a limited liability program basis.

(In the event that the Corporate Card variant issued is on a sole liability or joint and several liability basis) I hereby unconditionally and irrevocably agree that I shall be liable in respect of any and all amounts which may become payable in respect of or in relation to the Corporate Card, as mentioned in the Terms and Conditions and such liability shall in no manner be prejudiced or affected by any dispute I may have with the Company and/or any third party whether with respect to the quality/ quantity of goods purchased or quality of services obtained for which payment is made using the Corporate Card or otherwise. Once I cease to be in employment with the Company, the Corporate Card shall be cancelled and all benefits associated "whether accrued or earned" in respect of the Corporate Card shall stand withdrawn and forfeited with immediate effect. I unconditionally and irrevocably agree that I shall forthwith make payment of any and all amounts which are due in respect of or in relation to the Corporate Card at such time including any such expenses, if any, incurred after my employment with the Company ceasing and the cancellation of the Corporate Card.


(In the event that he Corporate Card variant issued is on a limited liability program basis) I hereby unconditionally and irrevocably agree that I shall be solely liable in respect of any and all amounts classified as 'personal expenses' by the Company in the expenses statement provided by the Company to the Bank ("Expenses Statement"), which may become payable in respect of or in relation to the Corporate Card, as mentioned in the Terms and Conditions. Notwithstanding anything to the contrary contained herein, I hereby acknowledge and agree that if any Expenses Statement is not provided by the Company or if any of the amounts which have accrued on the Corporate Card reflected in the statement issued by the Bank are not classified as official expenses or personal expenses in the Expenses Statement, I shall be liable for all the spends and amounts which have accrued on the Corporate Card irrespective of whether the underlying expenses are in the nature of official expenses or personal expenses. My liability shall in no manner be prejudiced or affected by any dispute I may have with the Company and/or any third party whether with respect to the quality/ quantity of goods purchased or quality of services obtained for which payment is made using the Corporate Card, the classification of such amounts as my 'personal expenses' or otherwise. Irrespective of the existence of any such dispute, all amounts payable to the Bank in terms hereof shall be made by me without any demur or delay whatsoever. Once I cease to be in employment with the Company, the Corporate Card shall be cancelled and all benefits associated "whether accrued or earned" in respect of the Corporate Card shall stand withdrawn and forfeited with immediate effect. I unconditionally and irrevocably agree that I shall forthwith make payment of:

1. any and all amounts classified as 'personal expenses' by the Company in the Expenses Statement; and
   
   
2. in the event that any Expenses Statement is not provided by the Company or if any of the amounts which have accrued on the Corporate Card reflected in the statement issued by the Bank are not classified as official expenses or personal expenses in the Expenses Statement, any and all spends and amounts which have accrued on the Corporate Card (irrespective of whether the underlying expenses are in the nature of official expenses or personal expenses),

which are due in respect of or in relation to the Corporate Card at such time including any such expenses, if any, incurred after my employment with the Company ceasing and the cancellation of the Corporate Card.

I understand and acknowledge that I shall be liable if any of the above information or any information included in this application form is found to be untrue or misleading.

I hereby consent to receiving information from Central KYC Registry through short message service/ e-mail on the registered number/ e-mail address.


I hereby agree and confirm that I have read the Customer Protection Policy (Unauthorized Electronic Banking Transaction) entirely, which is available on the Bank's website (at https://www.hdfcbank.com/assets/pdf/Customer-Protection-Policy.pdf). In that regard, I agree, acknowledge and undertake that in the event of occurrence of any transaction without my authorisation, I shall follow the procedure laid down in the policy and carry out the obligations of a customer, as set out in the policy. Further, I undertake and acknowledge that I shall be solely responsible for bearing the entire loss resulting from the unauthorised transaction (a) if I fail to report such unauthorised transaction to the Bank; or (b) if I report the unauthorised transaction to the Bank after 7 (Seven) working days from the date of its occurrence.


I hereby accept that the additional factor of authentication is mandated by the Reserve Bank of India vide its circular dated August 4,2011 bearing reference no. DPSS.PD.CO.No.223/02.14.003/2011-12 and use of the Corporate Card fortravel related card-not-present transactions without such additional factor of authentication (as permitted by the extant Reserve Bank of India directions) carries security risk and such cards are vulnerable to frauds and I agree and undertake to assume these risks.

At my request, I understand and acknowledge that HDFC Bank has agreed to issue Insta Credit Card subject to Bank's internal policy. I agree and acknowledge that Insta Credit Card can only be used for online transactions where credit card is not required to be presented physically i.e Card Not Present transactions. The responsibility and liability of any risk arising out of usage of Insta Credit Cards shall solely lie with me. I agree and shall not share, forward, disclose or compromise in any manner what so ever the email containing the details of the Insta Credit Card and the password thereof with any person. Upon issuance of the Insta Credit Card, I shall remain liable for payment of all transactions done on the Insta Cred it Card and that HDFC Bank shall not be held responsible for any loss, damages, expenses, costs etc. that may occur on account of any misuse/fraudulent activity carried on by usage of the Insta Cred it Card.

I agree and acknowledge that the Insta Credit Card shall be sent on the registered email address in a password protected PDF file containing the card details. The password to open the PDF shall be sent to customer's registered mobile number with the Bank. The statement in respect of the credit card shall be sent through email on the email address mentioned in the application form submitted by the applicant.

I agree and acknowledge that usage of the Insta Credit Card shall be subject to the Cardmember Agreement.

I/We understand that the usage of the HDFC bank international Credit card(s) shall be strictly in accordance with exchange control regulations, applicable laws or regulations of the regulatory authorities as applicable from time to time, which I/We undertake as my/our responsibilities to keep myself/ourselves-updated and also credit card will not be used for prohibited transactions including but not limited to forex trading, lottery, betting, gambling, dating websites. In the event of any failure to do so, I/We, will be liable for action under the Foreign Exchange Management Act 1999 or its statutory modification or re-enhancement or any other applicable law thereof.

I/We, agree not to make payment towards the card account from the FCRA account and if any such payments are observed, I/We am/are aware that a notice from the Ministry of Home affairs seeking explanation for such payments would be received.

I hereby give my consent and specifically confirm that the online application form submitted by me to HDFC Bank shall be valid, effective and legally enforceable against me though it is not electronically signed by me. For the purpose hereof, a document shall be deemed to be Electronically Signed if it has been encrypted / authenticated by using an electronic method or procedure in accordance with the provisions of the Information Technology Act, 2000 or in any other manner / method / procedure / technique as is recognized / envisaged as a valid method of encryption /authentication under the provisions of the Information Technology Act, 2000. I accept that the information provided in the online application form will be considered in the same lines as a physical application form for any future reference. As per RBI guidelines, card will be issued with domestic transactions enabled only. Please note that card with international transactions enabled may be issued in case of instruction received from the corporate authorized signatory. To enable or disable international transactions, please visit www.hdfcbank.com. If you receive a copy of your application form over email, the card acceptance type will be selected as International Disabled by default. I/We further declare except to the extent disclosed to HDFC Bank, no director (including the Chairman/Managing Director) or a relative/near relation (as specified by RBI) of a director (including the Chairman/Managing Director) of a banking company (including HDFC Bank) / trustees of mutual funds/venture capital funds set up by the banking company or a relative/near relation (as specified by RBI) of a senior officer of HDFC Bank (as specified by RBI) is: the applicant(s), or a partner of the applicants concern, or a trustee, member, director, manager, employee of our concern, or of the applicants subsidiary, or applicants holding company, or a guarantor on such applicants behalf, or holds substantial interest in applicant’s concern or applicant’s subsidiary or holding company. HDFC Bank reserves the right to cancel the credit card issued to the card member, in case the above declaration is found to be untrue and demand payment of all outstanding on the Card Account immediately.I hereby confirm and declare that I am not a Politically Exposed Person(s) (as per the definition of the Reserve Bank of India Master Direction -Know Your Customer (KYC) Direction, 2016) or a relative of a Politically Exposed Person. I hereby agree that the Bank reserves the right to cancel the credit card issued to me, in case the aforesaid declaration is found to be untrue and demand payment of all outstanding on the credit card immediately.In the event of any change in this declaration and/or if I subsequently become a Politically Exposed Person(s) or a relative of a Politically Exposed Person, after the issuance of the credit card to me, I hereby agree to promptly inform the Bank regarding the same and forthwith submit the relevant Politically Exposed Person.(PEP) declaration form at an HDFC Bank branch.
